Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Curate-Me platform, including the AI Gateway proxy, managed runners, observability dashboard, SDKs, and related services (collectively, the "Service") operated by Curate-Me AI, Inc. ("Curate-Me", "we", "our", or "us"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Service Description

Curate-Me provides a governance and observability layer for AI agent deployments. The Service includes:

  • AI Gateway Proxy — A reverse proxy that intercepts LLM API calls to providers such as OpenAI, Anthropic, Google, Groq, Mistral, xAI, and more, applying governance policies (rate limiting, cost controls, PII scanning, model allowlists, and human-in-the-loop approval gates) before forwarding requests upstream.
  • Managed Runners — Secure, sandboxed OpenClaw container environments with configurable tool profiles, network phase separation, and lifecycle management.
  • Observability Dashboard — A web-based console for monitoring agent activity, viewing cost breakdowns, reviewing audit trails, and managing governance policies.
  • SDKs & CLI — Python SDK, TypeScript SDK, CLI tool, and embeddable widget for integrating with the platform programmatically.

The Service is designed for integration with your existing LLM workflows. You connect by changing your base URL to point at our gateway endpoint. No changes to your application code are required.

2. Account Registration & Eligibility

To use the Service, you must create an account by providing accurate and complete registration information. You represent that:

  • You are at least 18 years of age (or the age of legal majority in your jurisdiction).
  • You have the authority to bind yourself (and, if applicable, your organization) to these Terms.
  • All information you provide is truthful and current.
  • You will maintain the security of your account credentials, including passwords and API keys.

If you create an account on behalf of an organization, you represent that you have authorization to accept these Terms on behalf of that organization, and "you" in these Terms refers to both you personally and the organization.

You are responsible for all activity that occurs under your account. Notify us immediately at security@curate-me.ai if you suspect unauthorized access.

3. API Key Usage & Responsibilities

API keys issued by Curate-Me (prefixed cm_sk_) are confidential credentials. You agree to:

  • Keep API keys confidential and not share them publicly (e.g., in client-side code, public repositories, or social media).
  • Rotate keys immediately if you suspect compromise.
  • Use keys only for their intended purpose (authenticating with the Curate-Me gateway).
  • Not attempt to circumvent rate limits, cost controls, or other governance policies applied to your keys.

Curate-Me stores API keys using SHA-256 hashing and does not retain plaintext copies after initial issuance. You are responsible for securely storing your key upon creation.

We may revoke API keys at any time if we detect misuse, security vulnerabilities, or violation of these Terms.

4. Acceptable Use Policy

You agree not to use the Service to:

  • Engage in, facilitate, or promote any illegal activity.
  • Bypass, circumvent, or disable governance controls, including rate limits, cost caps, PII scanning, model allowlists, or HITL approval gates.
  • Transmit malicious code, malware, or attempt to compromise the security of the Service, other users, or upstream LLM providers.
  • Generate content that violates applicable laws, including content that is defamatory, harassing, threatening, or infringes on intellectual property rights.
  • Reverse engineer, decompile, or disassemble any portion of the Service.
  • Use the Service to build a substantially similar competing product or service.
  • Resell or redistribute access to the Service without prior written consent.
  • Submit prompts or data designed to extract, replicate, or test the governance policies themselves for the purpose of circumvention.
  • Exceed rate limits or attempt to overwhelm the Service through automated abuse.

We reserve the right to suspend or terminate your access if we determine, in our reasonable judgment, that you have violated this Acceptable Use Policy.

5. Payment Terms

The Service is offered under multiple subscription tiers, which may include a free tier with limited usage and paid tiers with expanded capabilities.

Subscription Billing

  • Paid subscriptions are billed monthly or annually in advance, as selected at checkout.
  • Subscription fees are non-refundable except as required by applicable law or as described in our refund policy below.
  • All fees are stated in US dollars unless otherwise specified.

Usage-Based Charges

  • Some features (such as managed runner compute time or gateway API call volume beyond your tier's allocation) may incur usage-based charges.
  • Usage-based charges are calculated in real-time and visible in your dashboard. Charges are billed at the end of each billing cycle.
  • You may set daily budget caps and per-request cost limits through the gateway governance policies to control spending.

Refunds

If you are unsatisfied with the Service within the first 14 days of a new paid subscription, you may request a full refund by contacting billing@curate-me.ai. After the 14-day period, subscription fees are non-refundable. Usage-based charges are non-refundable once incurred.

Payment Processing

Payments are processed by Stripe. By providing payment information, you authorize us to charge the applicable fees. You are responsible for keeping your billing information up to date.

6. Data Handling

When you route API requests through the Curate-Me gateway, we process your requests as follows:

What We Store

  • Request metadata: model name, token counts, estimated and actual cost, timestamp, response latency.
  • Governance policy evaluation results (e.g., whether a request was rate-limited, flagged for PII, or routed to HITL approval).
  • Billing records and cost accumulation data.
  • Audit trail events for compliance and debugging.

What We Do NOT Store

  • The content of your prompts or completions. Request and response bodies are proxied through to the upstream provider and are not persisted by Curate-Me.
  • When PII scanning is enabled, content is scanned in memory and immediately discarded. We do not retain scanned content.
  • Your upstream provider API keys (e.g., OpenAI keys) — these are encrypted at rest and used solely for proxying.

7. Uptime & Availability

We target 99.9% monthly uptime for the AI Gateway proxy and the observability dashboard. This target reflects our commitment to reliability, but is not a guaranteed Service Level Agreement (SLA) with financial penalties at this time.

We use commercially reasonable efforts to maintain availability, including:

  • Redundant infrastructure across European data centers (Germany, EU).
  • Automated health monitoring and alerting.
  • Upstream provider resilience with retry logic and exponential backoff.

Scheduled maintenance windows will be communicated at least 24 hours in advance via email and the status page. Downtime caused by upstream LLM provider outages, force majeure events, or your own infrastructure is excluded from uptime calculations.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
  • CURATE-ME DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.
  • CURATE-ME DOES NOT WARRANT THE ACCURACY, RELIABILITY, OR CORRECTNESS OF ANY OUTPUT GENERATED BY AI MODELS ACCESSED THROUGH THE GATEWAY.
  • IN NO EVENT SHALL CURATE-ME BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
  • CURATE-ME'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO CURATE-ME IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.

You acknowledge that the governance policies provided by the Service (rate limiting, cost controls, PII scanning, etc.) are tools to assist your compliance efforts and do not guarantee regulatory compliance. You are solely responsible for your own regulatory obligations.

9. Intellectual Property

Your Data

You retain all rights, title, and interest in and to the data you submit to or process through the Service, including prompts, completions, application code, and configuration data ("Your Data"). We claim no ownership over Your Data.

Our Platform

Curate-Me and its licensors retain all rights, title, and interest in and to the Service, including the gateway proxy, governance engine, dashboard, runner control plane, SDKs, documentation, trademarks, and all related intellectual property. These Terms do not grant you any right to use Curate-Me's trademarks or branding without prior written consent.

Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant Curate-Me a perpetual, irrevocable, royalty-free license to use such feedback for any purpose, including to improve the Service.

10. Termination

Either party may terminate these Terms at any time:

  • You may cancel your account at any time through your dashboard settings or by contacting support@curate-me.ai.
  • We may suspend or terminate your access if you violate these Terms, fail to pay applicable fees, or if we are required to do so by law.

Data Export

Upon termination, your data will remain available for export for 30 calendar days. You may export your data via the dashboard or API during this period. After 30 days, we will delete your data in accordance with our Privacy Policy.

Survival

Sections relating to intellectual property, limitation of liability, indemnification, governing law, and any obligations that by their nature should survive, will survive termination of these Terms.

11. Changes to Terms

We may modify these Terms from time to time. When we make material changes, we will:

  • Provide at least 30 days' notice before the changes take effect.
  • Notify you via email to the address associated with your account.
  • Post the updated Terms on this page with a revised "Last updated" date.

Your continued use of the Service after the effective date of modified Terms constitutes acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service and may terminate your account.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to conflict of law principles. Any disputes arising from or relating to these Terms or the Service shall be resolved in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.
